SPA liability thresholds determine when a warranty breach can be pursued economically. A de minimis threshold filters individual small losses. A basket aggregates several claims. A cap limits total liability. These mechanisms are contractual and do not arise automatically from the Austrian Civil Code.

For buyers the scope matters: Which breaches count, when does a claim arise and how is the maximum amount calculated? Sellers need to know whether many small findings trigger the basket or whether known risks are treated outside the thresholds.

This article distinguishes de minimis, basket and cap. It explains their connection with sections 922 and 933 of the Austrian Civil Code and with warranty claims after closing.

The threshold logic is set out coherently.

If de minimis, basket and cap are clearly defined, the SPA can filter minor findings, aggregate several claims and limit total liability. Check whether indemnities, wilful conduct, deliberate misrepresentation and expressly excluded risks follow separate rules.

Unclear thresholds can make warranty claims unnecessarily difficult.

If the SPA does not define loss, claim, knowledge, set-off or aggregation, it becomes difficult to determine whether de minimis is met or the basket is triggered. Complete the calculation rules before signing and align them with notice periods and liability caps.

Individual small losses remain below the agreed threshold.

An amount below de minimis is typically not counted as an individual claim. Some SPAs exclude it entirely while others count it towards the basket. The contract must answer this question expressly.

What a de minimis threshold does in an SPA

A de minimis threshold sets a minimum amount for an individual warranty breach. It prevents every small deviation from generating a separate claim. Whether the breach is disregarded entirely or only excluded from the basket calculation depends on the SPA.

The contract needs a clear reference point for the calculation. It may use the individual loss, each claim arising from one set of facts or a connected series of breaches. The parties should also address insurance proceeds and tax benefits.

Section 922 of the Austrian Civil Code defines statutory warranty by reference to the agreed or owed quality. In a business acquisition this statutory layer is often supplemented or modified by detailed warranties and liability rules in the SPA.

How a basket aggregates several claims

A basket sets an aggregate threshold for several qualifying warranty breaches. A claim arises only once the sum or number of relevant findings reaches the agreed level. The counting method is therefore more important than the label basket.

An SPA may provide for a tipping basket. Once the threshold is exceeded the entire amount counted under the agreement becomes relevant. Under a deductible basket only the portion above the threshold gives rise to a claim.

The parties should decide whether known facts are combined, whether claims from one cause count once and how provisions or insurance proceeds affect the calculation.

How a cap differs from individual thresholds

A cap is the maximum liability for a defined group of warranty claims. It can be a fixed amount, a percentage of the purchase price or a figure for a specific warranty category. A general cap does not automatically cover indemnities or specially protected warranties.

The SPA should state which claims fall within it, whether settled claims reduce the remaining amount and whether enforcement costs are included. Individual warranties can have higher sub-caps or a separate liability rule.

Known tax positions, environmental risks or core title warranties may require a separate indemnity with its own limit.

How de minimis, basket and cap interact

The three thresholds operate at different levels. De minimis examines the individual finding. The basket aggregates the findings that remain relevant. The cap limits the total claims within the agreed liability category. The contract and a calculation example should show this sequence clearly.

Three warranty breaches may each fall below de minimis and still count towards the basket. If they are excluded from the basket as well, each finding remains without a claim. The result turns on the definitions in the contract.

Which risks need separate rules

Some risks should not disappear within the general threshold logic. Indemnities for specifically known tax claims, litigation or environmental liabilities often use a separate claim mechanism. The exact SPA wording remains decisive.

Wilful conduct, fraud or deliberate misrepresentation also require separate review. A general cap should not be extended to every liability basis without checking the wording.

Which documents support the calculation after closing

For a later calculation the buyer needs a warranty matrix. It allocates each finding to the relevant warranty, facts, estimated amount, evidence and contractual treatment.

The records should also show when the finding became known and when a claim notice was sent. An SPA may provide separate notice rules for warranty claims. Those rules should be aligned with the threshold logic.

Caution: A threshold works only as its calculation method is defined in the contract. Check terms, exceptions and alignment with the claim notice before signing.

FAQ

Frequently asked questions on SPA liability thresholds.

Can an amount below de minimis still count towards the basket? +

That depends on the SPA. Some clauses exclude the amount entirely. Others allow it to count towards reaching the basket even though it cannot create an individual claim. The definition should state the position expressly.

Is a basket the same as a cap? +

No. A basket determines when several claims can be brought after an aggregate threshold is reached. A cap limits maximum liability within the agreed category. They operate at different stages.

Do de minimis and a cap automatically apply to indemnities? +

No automatic transfer should be assumed. The SPA may give indemnities, fraud, deliberate misrepresentation or certain warranties a separate liability rule. The wording controls.
